Terms of Service

Effective date: August 6, 2026

1.1 Agreement to Terms

Welcome to LeadBee (“LeadBee,” “we,” “us,” or “our”), operated by ZIWIZ TECHNOLOGIES PRIVATE LIMITED (CIN: U62099TN2024PTC167191), a Private Limited Company incorporated under the Companies Act, 2013 on 02 February 2024, having its registered office at 7/314, North Street, Pandiyapuram, Sankarankovil, Tirunelveli, Tamil Nadu – 627857. By accessing or using the LeadBee platform, website, mobile application, or any related services (collectively, the “Services”), you (“User,” “Business,” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you must not access or use the Services.

These Terms constitute a legally binding agreement between you and LeadBee. Continued use of the Services after any modification to these Terms constitutes acceptance of the revised Terms.

1.2 Description of Services

LeadBee provides QR-code-based customer engagement tools for businesses, including but not limited to:

  • Review collection via scannable QR codes placed at points of sale or on packaging
  • Customer information capture (name, contact details, feedback) with consent
  • Analytics dashboards on customer engagement, review sentiment, and campaign performance
  • Campaign management tools for offers, loyalty programs, and follow-up messaging
  • Business automation workflows connecting review/lead data to a Business’s existing tools

LeadBee reserves the right to modify, suspend, or discontinue any feature of the Services at any time, with reasonable notice where the change materially affects existing subscribers.

1.3 Eligibility

To use the Services, you must:

  • Be at least 18 years of age
  • Be authorized to represent and act on behalf of the business enrolling on LeadBee
  • Provide accurate, current, and complete registration information
  • Not be barred from using the Services under applicable Indian law

1.4 Account Registration and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify LeadBee immediately of any unauthorized use of your account or any other breach of security. LeadBee is not liable for any loss arising from your failure to safeguard your credentials.

1.5 User Responsibilities

  • Provide accurate information about your business and the customers you engage through the platform
  • Obtain valid, informed customer consent before collecting personal data through LeadBee’s tools
  • Keep account credentials secure and restrict access to authorized personnel only
  • Comply with all applicable laws, including the DPDP Act, 2023, consumer protection law, and advertising regulations
  • Use collected customer data strictly for the purposes disclosed to the customer at the point of collection

1.6 Prohibited Conduct

You must not use the Services to:

  • Generate, solicit, or publish fake, incentivized-but-undisclosed, or manipulated reviews
  • Send unsolicited bulk communications (spam) to customers who have not consented
  • Upload, transmit, or introduce malware, viruses, or harmful code
  • Engage in any illegal activity, fraud, or misrepresentation
  • Scrape, reverse-engineer, or attempt to extract LeadBee’s underlying technology or datasets
  • Circumvent usage limits, rate limits, or security controls of the platform

Violation of this section may result in immediate suspension or termination of your account without refund, and LeadBee reserves the right to report unlawful activity to the appropriate authorities.

1.7 Subscription Plans and Payments

  • Subscriptions are billed in advance on a recurring basis (monthly or annual, as selected)
  • All fees are exclusive of applicable taxes (GST) unless stated otherwise
  • Subscriptions are generally non-refundable except as set out in the Refund & Cancellation Policy (Section 3) or where required by law
  • LeadBee reserves the right to revise pricing with at least 30 days’ prior notice to existing subscribers
  • Failure to pay subscription fees may result in suspension or downgrade of Services

1.8 Data Ownership

As between LeadBee and the Business, the Business owns the customer data it collects through the platform. LeadBee acts as a data processor / data fiduciary’s service provider with respect to such data and processes it strictly on the Business’s instructions and for the purposes disclosed in the Privacy Policy, except where LeadBee itself determines the purpose and means of certain platform-level processing (e.g., aggregated analytics, fraud prevention), in which case LeadBee acts as an independent data fiduciary for that limited purpose.

1.9 Intellectual Property

All software, source code, algorithms, branding, trademarks, logos, user interface designs, and documentation associated with LeadBee remain the exclusive property of LeadBee or its licensors. Nothing in these Terms grants you any ownership right in the Services; you receive only a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes during the subscription term.

1.10 Confidentiality

Each party agrees to protect the other’s confidential information disclosed in connection with the Services using at least the same degree of care it uses to protect its own confidential information, and not to disclose it to third parties except as required to perform its obligations or as required by law.

1.11 Warranties and Disclaimers

The Services are provided on an “as is” and “as available” basis. LeadBee does not warrant that the Services will be uninterrupted, error-free, or completely secure. Except as expressly stated in these Terms, LeadBee disclaims all warranties, whether express, implied, or statutory, to the maximum extent permitted by applicable law.

1.12 Limitation of Liability

To the maximum extent permitted by law, LeadBee shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services. LeadBee’s aggregate liability for any claim arising out of these Terms shall not exceed the fees paid by you for the Services in the three (3) months preceding the event giving rise to the claim.

1.13 Indemnification

You agree to indemnify and hold harmless LeadBee, its officers, directors, employees, and agents from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your breach of these Terms, misuse of the Services, or violation of any applicable law or third-party right, including any claim arising from customer data you collect without valid consent.

1.14 Suspension and Termination

  • LeadBee may suspend or terminate your access immediately for breach of these Terms, non-payment, or suspected fraudulent/illegal activity
  • You may terminate your subscription at any time in accordance with the cancellation process described in Section 3
  • Upon termination, your right to use the Services ceases immediately; provisions relating to IP, confidentiality, liability, and indemnification survive termination

1.15 Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Subject to Section 1.16, the courts at Tirunelveli, Tamil Nadu, India shall have exclusive jurisdiction over any disputes arising out of or in connection with these Terms.

1.16 Dispute Resolution and Arbitration

In the event of any dispute, controversy, or claim arising out of or relating to these Terms, the parties shall first attempt to resolve it through good-faith negotiation within 30 days. If unresolved, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, seated at Tirunelveli, Tamil Nadu, India, conducted in English, before a sole arbitrator mutually appointed by the parties.

1.17 Amendments

LeadBee may update these Terms from time to time. Material changes will be notified via the registered email address or an in-platform notice at least 15 days before taking effect. Continued use of the Services after the effective date constitutes acceptance.

1.18 Force Majeure

LeadBee shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including natural disasters, internet or telecom outages, government action, or cloud infrastructure provider failures.

1.19 Entire Agreement and Severability

These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and LeadBee regarding the Services. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
